A higher standard for corporate governance

Among our core values, our goal to "make mom proud" means we act with integrity, make ethical decisions, and use good judgment. In that spirit, Box is committed to the highest standards of corporate and data governance, compliance, and ethics.

Our Board of Directors

Our board brings a breadth of backgrounds and expertise — with a particular focus on SaaS and enterprise software and a powerful track record of maximizing stockholder value. We continue to add fresh perspectives to our board; since 2020, half of our board has joined, including two new independent directors since 2022.

Board composition

Our board has eight highly qualified members, seven of whom are independent.  Our commitment to fostering an inclusive culture where all Boxers can thrive and belong, regardless of background or identity is reflected in the composition of our board of directors, where 38% are women and 25% are from underrepresented communities.

Open and honest conversation

Candid communication is the expectation, not the exception. We want all employees to feel comfortable approaching a manager or any member of the leadership team when our values aren't upheld. We also offer a confidential hotline for employees to report any concerns anonymously.

Integrity starts with our Code of Business Conduct and Ethics, and our compliance program. This includes risk assessment, policy and procedure development, training, auditing, monitoring, and investigations and remediation of potential compliance issues. The Code of Business Conduct and Ethics applies to everyone, and all employees must complete training and a compliance certification each year. We adhere to the U.K. Modern Slavery Act of 2015 and publish an annual statement on our efforts to combat modern slavery and human trafficking, which is available here.

Our commitments also extend to our vendors. Our Supplier Code of Conduct states our principles and expectations for engaging with suppliers and service providers.

AI at Box

We are committed to being transparent about our AI practices, technology, vendors and data usage. That’s why, early on in the creation of Box AI, we established the Box AI Governance Program. Our AI Governance Program regularly reviews legal, regulatory, technical, compliance and security considerations as well as requirements specific to industry, sector, and business purposes. We incorporate standards such as the National Institute of Standards and Technology AI Risk Management Framework (NIST AI RMF) and the Organization for Economic Co-operation and Development (OECD) AI Principles.
